Each party will keep the other's non-public business information confidential and use it only to perform this Agreement.
Provider is an independent contractor, not an employee of Client. Provider is responsible for its own taxes and insurance.
Provider's total liability under this Agreement will not exceed the Fees paid. Neither party is liable for indirect or consequential damages.
The state written as governing law above governs. Disputes will first be mediated in good faith in the county and state written above.
This is the entire agreement. Changes must be in writing signed by both parties.
